1. Agreement and eligibility

By using this website or submitting an order request, you agree to these terms and our Privacy Policy. You must be at least 18 years old and legally capable of entering into a binding agreement. If you act for an organization, you represent that you have authority to bind it.

2. Research-use restriction

Products displayed by Off-White Labs are offered solely as research materials. They are not offered for human or veterinary use, consumption, administration, diagnosis, treatment, prevention, compounding, or clinical use. You agree not to use, transfer, promote, or resell products for a prohibited purpose.

• No dosage, administration, therapeutic, or reconstitution guidance is provided.
• Product names and references identify research materials; they are not claims of approval, safety, or effectiveness.
• You are responsible for suitable facilities, trained personnel, lawful handling, storage, disposal, and institutional approvals.

3. Order requests and verification

Submitting a request does not create an order and does not obligate Off-White Labs to sell. We use a risk-based review process and may request additional information, limit quantities, decline a request, or cancel a transaction when information is incomplete, inconsistent, unverifiable, or presents a compliance concern.

• Approval reflects only our review of the information available at that time.
• Approval is not certification, accreditation, or an endorsement of the purchaser or proposed research.
• You must keep purchaser and organization information accurate and promptly report material changes.

4. Invoices, acceptance, and payment

An approved request may receive an invoice stating the materials, quantities, price, taxes, shipping, and payment instructions. A transaction is accepted only after cleared payment and written order confirmation from Off-White Labs. We may correct errors or withdraw an unpaid invoice. Prices and availability may change before acceptance.

5. Product and batch information

Packaging images may be illustrative. The label, selected amount, lot identifier, and batch-specific documentation supplied with an accepted order control over general website content. A report applies only to the lot identified on that report. We do not represent unpublished or unavailable results as completed testing.

6. Shipping, inspection, and returns

Our Shipping & Returns Policy is incorporated into these terms. Risk of loss and title transfer as permitted by applicable law and as stated on the invoice or shipment confirmation. You must provide a complete and accurate deliverable address and inspect the shipment promptly.

7. Intellectual property

The Off-White Labs name, OWL marks, artwork, website design, copy, and other site content are owned by or licensed to OFF-WHITE LABS LLC. You may not reproduce, alter, distribute, or use them commercially without written permission.

8. Website availability and third parties

We may change or suspend the website, catalog, policies, or request process. Links or services supplied by third parties are governed by their own terms. Off-White Labs is not responsible for third-party systems outside its reasonable control.

9. Disclaimers and liability

To the fullest extent permitted by law, the website and its content are provided “as is” and without implied warranties. Research materials are subject only to the specifications expressly stated in the accepted invoice and applicable batch documentation. Off-White Labs is not liable for unauthorized, unlawful, or improper use.

• To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, or consequential damages.
• To the fullest extent permitted by law, Off-White Labs’ aggregate liability arising from a product transaction will not exceed the amount paid for the product giving rise to the claim.
• Nothing in these terms excludes liability that cannot legally be limited or excluded.

10. Governing law and venue

These terms are governed by Texas law, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought in a court of competent jurisdiction in Harris County, Texas, unless applicable law requires otherwise.

11. Changes and contact

We may update these terms by posting a revised version with a new effective date. Questions or formal notices may be sent to support@offwhitelabs.com. Electronic notice is acceptable where permitted by law.
